OREANDA-NEWS At the annual meeting on December 27, Ozon shareholders will consider the issue of registering the company in the special administrative district on Oktyabrsky Island of the Kaliningrad Region in the form of an international company of public joint stock company Ozon (MKPAO Ozon), its message says.

We are talking about the redomicilation of the Cyprus holding company Ozon Holdings Limited. Ozon's top management announced preparations for redomicilation in April - then the company's CFO Igor Gerasimov reported that it was planned to initiate the "move" in 2024.

"Over the past two and a half years, Ozon has carefully analyzed various options for how to ensure the company's sustainable development in the long term in the current geopolitical, economic and regulatory conditions. We have come to the conclusion that the redomicilation scenario fully meets the interests of the company and its partners," Ozon said in a press release published on Monday.

As explained to Interfax in the Ozon press service, if the decision is approved by shareholders, it is expected that the redomicilation process will be completed by the end of 2025, according to its results, the shares of MKPAO will be traded on the Moscow Stock Exchange.

"Redomicilation involves the complete transfer of the company's shareholder structure to Russia, therefore all Ozon shareholders will participate in redomicilation on the same basis, regardless of the date of their acquisition of Ozon securities and the jurisdiction of the holders," the press service noted.

The process itself involves the exchange of ADS Ozon Holdings Limited for securities of the MCPAO, the purchase of shares or ADS is not planned.

ADRs in the Russian circuit are automatically converted into shares of MCPAO after the company is registered in Russia. No action is required on the part of their holders, regardless of whether they are residents or not.

The co-owners of Ozon are PJSC AFK Sistema with a share of 31.76%, Vostok Investments investment holding, which has about 28%; the remaining shares are in free circulation.

NSD's infrastructure accounts for about 10% of Ozon's capital, said Maria Berasneva, the company's IR director, in early summer.

In June, at that time, Deputy head of the Ministry of Industry and Trade Viktor Yevtukhov reported that Ozon had received permission from the Board of Directors for foreign investments to redomicile the holding company, which is valid until the end of 2025.

In addition to redomicilation, the agenda of the Ozon shareholders' meeting includes issues on approval of amendments to the company's articles of association, reporting for 2023, appointment of auditors, election of directors.
