DIXY Group of Companies Gets Share in Capital of Bristol Chain
OREANDA-NEWS. JSC DIXY YUG acquired a 31.8% interest in the charter capital of Albion-2002 LLC, the corporate manager of the Bristol chain. Prior to the transaction, JSC DIXY Yug held an interest of 1.2% in the charter capital of Albion-2002 LLC.
Therefore, following the deal, the aggregate share of JSC DIXY Yug, a subsidiary of OJSC DIXY Group, in the charter capital of Albion-2002 LLC totals 33%. Acting as seller was Megapolis Holdings (Overseas) Limited.
The resolution on the transaction was approved by the meeting of shareholders of JSC DIXY Yug, reviewed by the board of directors of OJSC DIXY Group and endorsed by the independent directors present at the meeting in April 2015. Currently, the corporate management is discussing the possible degree and deadlines of integration.
In order to determine the fair market value of the interest to be acquired, an independent appraiser was engaged and, according to Baker Tilly Rusaudit LLC, the amount of the transaction to purchase the 31.8% share in Albion-2002 LLC is 1,780 million rubles. "Involvement in the capital of the corporate manager of the Bristol chain bears out our readiness to build up the scale and the effectiveness of our retail business, including by way of expanding the formats we operate in various regions of Russia", stresses President of DIXY Group Ilya Yakubson.
