OREANDA-NEWS. Transaction of AvtoVAZ purchase of the largest supplier - "United Automobile Technologies" - will be without money. For the company with a turnover of 16 billion Rubles, the plant offers bills for 165 million Dollars with maturing in 2032.

On April 10th it must be held the meeting of the Board of Directors of AvtoVAZ, where it will be considered the structure of the deal for the purchase from the state corporation "Rostech" the assets of group "United Automobile Technologies" (OAT) and "Industrial Holding "Automotive components" (PHAK).

According to the draft of memorandum to the transaction (the document is at the disposal of "RBK"), which was signed by AvtoVAZ and "Rostech" on March 23rd, the parties expect to close the transaction before September 1st, 2015, the sum will be 165 million Dollars. Instead of money the seller will give the free promissory notes maturing no earlier than 2032. Sources claim that these conditions exist in the signed document.

A source close to "Rostech", confirmed that AvtoVAZ will buy all the assets of UAT and PHAK - it is the parties' agreement. Earlier, sources said that AvtoVAZ is interested in only some of the company's assets. The possibility of partial purchase is provided in the memorandum.

AvtoVAZ hired the consulting company Alvarez & Marsal to carry out due diligence - the final parameters of the deal will be processed after the learning assets in three or four months. The buyer has already made the change of management of PHAK and UAT.

AvtoVAZ is the main buyer of products UAT, it has the share of sales of about 40%, says the former CEO of Michael Kuczynski (he left the post on March 20th, 2015). According to him, the plant is interested in buying the assets, involved in the production of components for Lada, as well as for cars, assembled under contract with the alliance Renault-Nissan.

Earlier, sources of "RBK" said that AvtoVAZ was interested in JSC "Motor-Super" (Togliatti), OJSC "Dimitrovgrad Auto Aggregate Plant" (DAAZ, Ulyanovsk region), JSC "Serdobsky Machine Building Plant" (SMZ, Penza region), JSC "OSVAR "(Vladimir region), "Rosavtoplast" (Togliatti) and "VAZinterService" (VIS, Tolyatti).

Since the end of the last year AvtoVAZ in several tranches provided for automotive component structures of "Rostech" the bridge loans for 2.3 billion Rubles under 16-23%, says Mr.Kuchinsky. The money is likely to go into an escrow of deal, it is believed by the interlocutors of "RBK".

AvtoVAZ will assume the obligations of the acquired assets, including their operational duty, said a source, close to the car plant and "Rostech”. One of them said that as of March 1st, 2015 the total debt of PHAK and UAT was more than 6 billion Rubles. AvtoVAZ will also assume all costs for the optimization of personnel of the acquired assets. There are work 14,500 people in PHAK and UAT.
