OREANDA-NEWS. February 19, 2015. JSC Freight One (the Company, Freight One, formerly JSC "Independent Transport Company"*) held an Extraordinary General Meeting of Shareholders.

The shareholders approved the new Company name, Joint Stock Company Freight One (JSC Freight One), and the new version of the Articles of Association, as well as several corporate governance policies and procedures of the Company.

The shareholders resolved to establish Freight One branches in Yekaterinburg, Krasnoyarsk, Nizhny Novgorod, Novosibirsk, Samara, Saint Petersburg, Saratov, Rostov, Irkutsk, Moscow, Vladivostok, Voronezh, Chelyabinsk and Yaroslavl.

The Board of Directors was elected consisting of 9 members as follows:

Oleg Bagrin, President of OJSC NLMK;
Anton Batyrev, Director of CJSC Libra Capital Investment Company;
Oleg Bukin, CEO of JSC "Freight One";
Alexander Voloshin, independent director;
Mark Okes-Voysey, independent director;
Dmitry Lisin, Director of Strategic Planning at LLC RUMELCO;
Alexander Sapronov, Executive Director of JSC "Freight One";
Vyacheslav Fedorov, President of Social Development Non-State Pension Fund, President of JSC Bank of Social Development and Construction Lipetskcombank;
Igor Fedorov, CEO of LLC Т.A. Management, the management company of Universal Cargo Logistics Holding.

On February 12, 2015 Freight One held the first meeting of the Board of Directors, resulting in election of the Chairman of the Board of Directors and appointment of the new CEO of the Company.

Alexander Voloshin, an independent director, was elected Chairman of the Board of Directors of Freight One. Oleg Bukin was appointed CEO of the Company, also remaining the CEO of JSC "Freight One" until its merger with the Company.

* - In August 2014, as part of the merger of Joint Stock Company "Freight One" (JSC "Freight One") with Joint Stock Company "Independent Transport Company" (JSC "ITC"), it was resolved to facilitate the integration process by changing the name of Joint Stock Company "Independent Transport Company" (JSC "ITC") to Joint Stock Company Freight One (JSC Freight One), and also changing its location address (while primary state registration number (OGRN), tax identification number (INN), and other details of the Company remain the same).

For reference: Mark Okes-Voysey, 51, a UK citizen, graduated with distinction from London Metropolitan University, and took up a job with Arthur and Andersen in London, where he qualified as a Chartered Accountant.

In 1988 Mark moved to PricewaterhouseCoopers (PwC), where he focused on auditing and business consulting in the company's offices in London, Madrid, Mexico City, New York, and Moscow.

Promoted to partner at PwC in 1997, Mark worked with major Russian companies, such as NLMK, VSMPO, and EuroChem, as well as with major investors in the Russia, such as Daimler.

Over the past eight years Mark was a member of the Executive Board of Partners at PwC for Central and Eastern Europe, and a Managing Partner in charge of development of business consulting in 30 countries of Central and Eastern Europe. For several years Mark was also a member of the Supervisory Board of PwC. He left PwC in December 2014.
