OREANDA-NEWS. December 29, 2014. Dmitry Paramonov, FBK Legal, Tax Consulting Practice attorney at law, took part in the VI Annual IBA Conference of “Mergers and Acquisitions in Russia and CIS Countries.

The conference was organized by the IBA Committee for Corporate Law, Mergers& Acquisitions, IBA European Regional Forum, and the Russian Arbitration Association

Participants in the conference - practitioners from the leading law companies in Russia and CIS countries, the representatives of major corporations (Gazprom, Renova, Interros and some others), the leading world experts in economics and jurisprudence – discussed the M&A market trends in Russia and the CIS.

Dmitry Paramonov delivered a speech at the session of “De-offshoring – practical tax and legal implications for M&A transactions ensuing from the new rules”.

In his presentation D. Paramonov elaborated on the changes in the RF TC coming into force in 2015 that refer to the profit tax of foreign companies controlled by Russian tax residents. He also spoke about the conditions required for the recognition of foreign companies as RF tax residents, the notification of tax authorities about RF tax residents participation in foreign companies and disclosure by some categories of foreign companies of information about their participants.

According to Dmitry Paramonov, the innovations bring significant adjustments in the practice of economic activity; they should be surely taken into account in the process of M&A transaction structuring.
