OREANDA-NEWS. On 17 December 2014 SIA "ACME CORPORATION" published an announcement regarding investment of subsidiary SIA "APEX INVESTMENTS" in the share capital of subsidiaries SIA BIG TRUCK and SIA “Neatkar?g? patentu a?ent?ra”.

SIA "ACME CORPORATION" informs that on 18 December 2014 SIA "APEX INVESTMENTS" sold to SIA "ACME CORPORATION" all of the capital shares of SIA BIG TRUCK and SIA “Neatkar?g? patentu a?ent?ra” acquired as a result of capital increase for market price. Purchase price is confidential since the transaction is carried out as part of fulfilment of the conditions precedent under the share purchase agreement entered with Hili Properties BV (see announcement of SIA "ACME CORPORATION" as of 29 October 2014). As a result of the transaction the sole shareholder of SIA BIG TRUCK and SIA “Neatkar?g? patentu a?ent?ra” is SIA "ACME CORPORATION".

Payment of the purchase price shall be performed by way of setoff by partially discharging debt liabilities of SIA "APEX INVESTMENTS" towards SIA "ACME CORPORATION". The transaction will not materially affect the commercial activities of SIA "ACME CORPORATION" and its subsidiaries.
