OREANDA-NEWS. August 19, 2014. Arco Vara AS is planning to issue up to 3,500,000 additional ordinary shares with a subscription price of 1 euro in addition to the outstanding 4,741,707 shares of Arco Vara. 

The offer is addressed to current shareholders and to the employees who are natural persons working for Arco Vara AS and for its Estonian subsidiaries that are legal persons, as well as the members of the Management Board and the Council.

Start of the subscription period: 8 August 2014 at 9:00 am.

End of the subscription period: 29 August 2014 at 2:00 pm.

Subscription price: 1 euro (nominal value is 0.7 euros; issue premium is 0.3 euros)

When submitting a subscription undertaking via the Internet bank (Investing -> Subscription), the undertaking must contain the amount of shares. The right of current shareholders to participate in the offer is not limited to the amount of their equity participation; this means that current shareholders can subscribe to more shares than they own as at 7 august 2014 at 23:59 (11:59 pm). The number of subscription undertakings submitted by an investor is not limited. If an investor submits more than one subscription undertaking, then all duly submitted subscription undertakings will be taken into account.

The submitted subscription undertakings can be changed or withdrawn until the end of the subscription period (29 August 2014 at 2:00 pm).

The final allocation of shares and their price is revealed on 01.09.2014 at 8:00 pm the latest. The Estonian Central Register of Securities is expected to conduct transfers of securities against a payment that has been adjusted according to the sale price of shares and the list of the allocation of shares on 4 September 2014. Trading with the shares on NASDAQ OMX Tallinn Stock Exchange is expected to commence on 17 September 2014.
