Sberbank Holds its Annual General Shareholders’ Meeting
OREANDA-NEWS. June 09, 2014. Sberbank of Russia has announced the results of its Annual General Shareholders’ Meeting.
The Meeting approved the Annual Report of the Bank for 2013 and its Annual Financial Statements, the new versions of Bank’s Charter, Provision for the General Shareholders' Meeting, Provision for the Supervisory Board, Provision for the Management Board and Provision for the Audit Committee.
The Meeting approved the recommendations of the Supervisory Board on the distribution of profits for 2013 and payment of dividends for 2013 on the ordinary shares of the Bank of the amount 3.20 rubles per share, and on the preferred shares of the amount 3.20 rubles per share. The Meeting also approved the date of compiling the list of persons entitled to receive dividends - the end of the trading day on June 17.
The Meeting approved CJSC Ernst & Young Vneshaudit as the Auditor of Sberbank for 2014 and Q1 2015.
It has also elected a new Supervisory Board and Audit Commission of the Bank.
The following individuals have been elected to the Supervisory Board:
Martin Grant Gilman – Professor of Higher School of Economics;
Valery Goreglyad – Chief Auditor of the Central Bank of the Russian Federation;
Herman Gref – President and Chairman of the Executive Board of Sberbank of Russia;
Evsey Gurvich – Head of the Economic Expert Group;
Bella Zlatkis – Deputy Chairman of the Executive Board of Sberbank of Russia;
Nadezhda Ivanova – Deputy Governor of the Central bank of the Russian Federation - Director, General Economic Department;
Sergey Ignatiev – Adviser to the Governor of the Central bank of the Russian Federation;
Peter Kralich – Honoured Director of McKinsey;
Alexei Kudrin – Dean of the Faculty of Liberal Arts and Sciences at St. Petersburg State University;
Georgy Luntovskiy – First Deputy Governor of the Central bank of the Russian Federation;
Vladimir Mau – Rector of the Russian Presidential Academy of National Economy and Public Administration;
Gennadiy Melikyan – Member of Advisory Council under the Bank of Russian Chairman;
Alessandro Profumo – Chairman of Banca Monte dei Paschi di Siena, Italy;
Sergei Sinelnikov-Murylev – Rector of the Russian Foreign Trade Academy of the Ministry of Economic Development of the Russian Federation;
Dmitry Tulin – Professor at the Russian Academy of Entrepreneurship;
Nadia Wells – Investment and Corporate Management Consultant;
Sergei Shvetsov – First Deputy Governor of the Central Bank of the Russian Federation.
The following individuals have been elected to the Audit Commission:
Natalia Borodina – Head of the Audit Division for Moscow Region Units, Internal Audit Department, Central Bank of the Russian Federation;
Vladimir Volkov – Deputy Director of the Accounting and Reporting Department of the Central Bank of Russia, Head of the Department for Accounting Principles, Development and Support of the Procedural Basis for Financial Reporting under International Standards;
Tatiana Domanskaya – Head of Division for Interaction with External Controlling Authorities, Internal Control, Inspection and Audit Department, Sberbank of Russia;
Yulia Isakhanova – Head of the Financial Control Division of the Finance Department of Sberbank of Russia;
Alexey Minenko – Deputy Chief Accountant of Sberbank of Russia, Deputy Director of the Accounting and Reporting Department of Sberbank of Russia;
Olga Polyakova – Director of the Internal Audit Department, Central Bank of the Russian Federation;
Natalia Revina – Head of the Retail Risk Division, Risks Department, Sberbank of Russia.
The Meeting also approved payment of remuneration to members of the Audit Committee.
