CREDIT AGRICOLE BANK Reports on Paying of Dividends
OREANDA-NEWS. June 26, 2013. PUBLIC JOINT STOCK COMPANY “CREDIT AGRICOLE BANK”, located at: 42/4, Pushkinska St, (hereinafter, the Bank), would like to inform you of the procedures for paying out dividends accrued on ordinary and preferred shares of the Bank based on the results of the Bank’s activities in 2012.
The amount of dividends to be paid to a particular shareholder shall be determined by multiplying the amount of dividend by the amount of shares held by each shareholder. If the resulting amount of dividend contains partial kopeck, such amount will be rounded to a whole kopeck using mathematical rounding rules, meaning that the final amount to be paid to a shareholder is determined with the precision of two decimals.
Dividends shall be paid in cashless form. When dividends are paid to PI shareholders, the Bank shall withhold the amount of PI Income Tax.
To receive dividends, an individual shareholder (a resident of Ukraine) should send to the address of the Bank – 42/4, Pushkinska St, Kyiv, 01004, Legal Department, tel (044) 581-07-47 – an application for the payment of dividends that should contain the following information: first, middle and last name; passport data (number, series, issued when and by whom) and taxpayer identification number; place of residence, mailing address; contact phone number; details of the bank account where dividends are to be transferred (account number, full name of the bank and its MFO), date of the application.
The application has to be signed by the shareholder. Copies of a passport and of a certificate on taxpayer identification number assignment certified by the shareholder’s signature have to be attached to the application.
To receive dividends, a legal entity shareholder (a resident of Ukraine) should send to the address of the Bank – 42/4, Pushkinska St, Kyiv, 01004, Legal Department, tel (044) 581-07-47 – an application for the payment of dividends that should contain the following information: full company name, identification code under EDRPOU; location; mailing address; telephone/fax; details of the bank account where dividends are to be transferred (account number, full name of the bank and its MFO). The application has to be certified by the signature of an authorized official and sealed with an imprint of the shareholder’s stamp.
The following should be attached to the application: a copy of a duly registered and notarized constituent document; original or copy of the abstract from the Unified State Register of Legal Entities and Sole Proprietors; a copy of the document issued by the state tax body confirming legal entity registration as a taxpayer; a copy of the certificate on inclusion of the legal entity to the Unified State Register of Enterprises and Organizations of Ukraine; copies of the documents confirming appointment to the position of the official(s) having the right to act on behalf of the legal entity without a power of attorney, issued and signed by the CEO and certified by a legal entity seal (if the application for dividend payment has been signed by an official other than the CEO). Unless otherwise stipulated, the documents shall be submitted in copies signed by the authorized official and bearing an imprint of a legal entity seal, last name and position of the official certifying the document being specified.
To receive dividends, a legal entity shareholder (a non-resident of Ukraine) should send to the address of the Bank – 42/4, Pushkinska St, Kyiv, 01004, Legal Department, tel (044) 581-07-47 – an application for the payment of dividends that should contain the following information: full company name; a registration number from the trade, banking or court register; location; mailing address; telephone/fax; details of the bank account where dividends are to be transferred (account number, full name of the bank and its MFO). The application has to be signed by authorized official and sealed with an imprint of the shareholder’s stamp (if any).
If any changes related to identification of the shareholders eligible for dividend receipt (full name, details of the documents certifying identity, address for private individuals, EDRPOU code, domicile, etc) took place, the shareholders need to address a custodian, with which its account in securities is opened, and make necessary changes.
The Bank’s obligation to pay dividends shall arise no sooner than the day when the Bank gets a written application for dividend payment from a shareholder, which is signed by such shareholder or by its representative, together with the required documents.
After the deadline specified for payment of dividends on preferred share, dividends that were not received by the holders of preferred shares shall be transferred to the deposit of a notary public. Disbursement of the relevant amounts from the deposit shall be performed on the ground of the shareholder’s application to the notary public. Unclaimed cash amounts that should be transferred to the shareholders shall be kept for three years and after the deadline specified for their storage they shall be transferred to the State Budget of Ukraine according to the procedures set forth in the effective Ukrainian laws.
After the deadline for payment of dividends on ordinary shares outlined in the effective Ukrainian laws expires, the dividends on ordinary shares unclaimed by the holders of ordinary shares shall be placed on a deposit with the Bank and paid on the ground of a separate request of the shareholder.
We are drawing your attention to peculiarities of dividend payment procedures for separate categories of individuals:
- to make payment to private individuals that came into the right to inherit the dividends and were not included into the list of shareholders as of the date of compilation of the list of persons eligible for dividend receipt based on the results of the Bank’s activities in 2012, a copy of notarized certificate of right to inherit the dividends should be also submitted in addition to the other documents;
The Bank shall not bear responsibility for untimely entry of data to securities accounts of the shareholders maintained by the custodian, including updated information on passport data and bank details of the shareholder.
