OREANDA-NEWS. June 17, 2013. The annual general meeting of "Nizhnekamskshina" shareholders was held in Nizhnekamsk (Tatarstan).

The meeting was attended by Shafagat Takhautdinov, Director General of JSC TATNEFT, Rinat Sabirov, Assistant to the President of the Republic of Tatarstan, Nail Maganov, First Deputy Director General of JSC TATNEFT - Head of Crude Oil and Petroleum Products Sale Department, Zagit Sharafeev, Deputy Director General of JSC TATNEFT for Petrochemicals Production - Director of "Tatneft-Neftekhim" Management Company and Elvira Dolokazina, Deputy Head of Nizhnekamsk Municipal District.

The Joint Stock Company was developing and maintained a stable position as one of the tire industry leaders in 2012. Out of 41 million 847 thousand tires produced by the tire factories in the Russian Federation in 2012 the share of tires produced by JSC "Nizhnekamskshina" came to 10 million 306 thousand. The share of the Joint Stock Company in the total output of the domestic tire factories and foreign manufacturers, which are localized in the territory of Russia, accounted for 25 percent with the total share of JSC TATNEFT's tire factories amounting to 31 percent.

Based on the results of 2012 "AvtoVAZ" Company and GAZ Group, which are main consumers of the Company's tires, assigned to the Company categories "Reliable Supplier" and "Excellent Supplier", respectively.

One of the priorities of JSC "Nizhnekamskshina" is ongoing renewal of the assortment and quality enhancement of the products. The Company started production of 7 tire models during 2012. The share of Innovative products is 20.8 percent of the total enterprise output.

The past year can be characterized as a year of further modernization of the tire production. Starting from the 2nd quarter of 2012 the Company has been implementing the project "Increasing the KAMA EURO and Viatti tires production by 1 million 300 thousand pieces", which will bring their production to 4 million 500 thousand tires per year. In addition, there were such major investment projects implemented as the process equipment modernization and provision of own domestic potable and process water for the petrochemical complex of JSC TATNEFT.

The quality management system audits performed in 2012 demonstrated that the Company's activity complied with the requirements of ISO 9001 and ISO/TS 16949 as well as with the requirements of consuming auto-makers, was efficient and maintained integrity in the conditions of transferring some functions to outsourcing.

Positive results were achieved in the field of the production environmental safety. The Company spent 230 million rubles on measures for protection of the environment in 2012. The inspection environmental audits were successfully performed in the past year, which resulted in acknowledgement of the environmental management system at the tire factories of JSC TATNEFT to be in compliance with the requirements of GOST R ISO 14001:2007. The latest accomplishments in the field of ecology are the victory of "Nizhnekamskshina" in the VIIIth All-Russian contest "Leader of Environmental Protection in Russia - 2012".

JSC "Nizhnekamskshina" adheres to a socially oriented policy. In 2012, the administration and the Trade Union Committee of JSC "Nizhnekamskshina" fully complied with the obligations set out in the collective agreement.

A plan of production for 2013 was defined at the meeting in the amount of 11 million 537 thousand tires with the growth rate to the level of the actual output in 2012 amounting to 112 percent.

The shareholders elected the Board of Directors of JSC "Nizhnekamskshina" consisting of 11 members: Shafagat Takhautdinov, Director General of JSC TATNEFT, Nail Maganov, First Deputy Director General of JSC TATNEFT - Head of Crude Oil and Petroleum Products Sale Department, Victor Gorodniy, Deputy Director General of JSC TATNEFT - Head of Property Department, Vladimir Lavushchenko, Deputy Director General of JSC TATNEFT on Economics, Iskandar Garifullin, Chief Accountant - Head of Accounting and Reporting Department of JSC TATNEFT, Ilgizar Yakushev, Deputy Director General of JSC "Tatneftekhiminvest Holding", Zagit Sharafeev, Deputy Director General of JSC TATNEFT for Petrochemicals Production - Director of "Tatneft-Neftekhim" Management Company, Zakir Fairuzov, Deputy Director on Production Development of "Tatneft-Neftekhim" Management Company, Radiy Burganov, Executive Director of JSC "Nizhnekamskshina" and Albert Sagdeev, Chairman of the Trade Union Committee of the United Primary Trade Union Organization of "Tatneft-Neftekhim" Management Company. Rinat Sabirov, Assistant to the President of Tatarstan was appointed to the Board of Directors of JSC "Nizhnekamskshina" based on the golden share right owned by the Government of the Republic of Tatarstan. Shafagat Takhautdinov was elected as Chairman at the first meeting of the Board of Directors held after the general meeting.

Decisions of the shareholders' meeting approved the annual report, annual financial statements, including the profit and loss account, the distribution of profits for the financial year results, the amount of dividends on shares of the Company and timing of their payment, as well as the auditors of "Nizhnekamskshina". Members of the Audit Committee were elected. The interested party transactions were approved.

"Energy Consulting/Audit" (Moscow) was approved as the external auditor of "Nizhnekamskshina".
