Farhad Moshiri, Chairman of the Board of directors, Management Company METALLOINVEST, commented: “Corporate governance is the highest priority for METALLOINVEST. We have decided to reduce the number of executive directors on our Board, thereby increasing the proportion of non-executive Board members. We are also pleased to announce the appointment of Irina Lupicheva, our first female Board director, and are confident that her experience, along with that of Ivan Streshinsky, also a representative of USM Holdings, will contribute to the Company’s efficient operation.”

Biography of new members

Ivan Streshinsky

Ivan Streshinsky is CEO of USM Advisors LLC, a company that provides advisory services to USM Holdings. He serves as a member of the Board of Directors of Garsdale Services Investment Limited, UTH Russia Limited, MegaFon OJSC, Mail.ru Group Limited, New Media Technologies Capital Partners Limited and Kommersant Publishing House JSC.

Mr. Streshinsky also serves as CEO of Garsdale Services Investment Limited and Chairman of the Board of Directors of Telecominvest LLC.

From 2008 to 2012, he was CEO of Telecominvest LLC. In 2006 – 2008 as member of the Boards of Directors of Gazmetall JSC and METALLOINVEST; worked on the consolidation of METALLOINVEST Holding’s assets. In 2006 – 2007 was CEO of Gazmetall JSC. In 1994 – 2006 held a number of senior managerial positions at COALCO Group. In 1993 – 1994 was a member of the Board of Directors of Perm Motors. Mr. Streshinsky graduated with honours from the Moscow Institute of Physics and Technology, faculty of aeromechanics and flying engineering.

lrina Lupicheva

Irina Lupicheva is Managing Director, Head of Risk and Control Directorate at USM Advisors LLC, a company that provides advisory services to USM Holdings. In 2004 - 2012 held managerial positions in companies, which were later consolidated into USM Holdings, and supervised the finance and internal audit spheres, as well as securities transactions. Participated in creation of USM Holdings. In 1992 — 2004 held managerial positions at MBG’s companies and MBGroup Impex.

Graduated from the Moscow State Institute of International Relations majoring in International Economics and holds a post-graduate degree from the Moscow Finance Academy.
