OREANDA-NEWS. Mitsui & Co., Ltd. completed a share exchange with Mitsui as the wholly owning parent company and MITSUI FOOD CO., LTD. as the wholly owned subsidiary. MITSUI FOOD became Mitsui's wholly owned subsidiary effective February 5, 2013, in accordance with the share exchange agreement between Mitsui and MITSUI FOOD dated December 19, 2012.

The Share Exchange was executed through a short-form share exchange procedure under the provisions of Article 796, Paragraph 3 of the Companies Act, under which approval of the general shareholders' meeting of Mitsui is not required.
