OREANDA-NEWS. January 11, 2013. OJSC Mostotrest (hereinafter “Mostotrest” or the “Company”, and together with its consolidated subsidiaries, the “Group”, MICEX-RTS stock ticker: MSTT) announces the closing of the acquisition of a 50% stake in LLC North-West Concessionary Company (hereinafter “NWCC”). The transaction consideration is RUB 7,780.5 million payable in cash. The transaction was approved by the extraordinary general shareholders’ meeting of the Company on December 14, 2012.

As part of the transaction Mostotrest acquired 100% of Plexy Ltd., key assets of which include a 50% stake in NWCC and RUB 1,000 million in cash (as of the closing date of the transaction). Sellers are the current owners of Plexy Ltd. – Perceive Holding Ltd and Octacore Holding Ltd, controlled by beneficial owners of Marc O'Polo.

North-West Concessionary Company (NWCC) is the concessionary for the 15-58 km segment of the Moscow - Saint Petersburg Toll Highway, under a contract from Avtodor State Company. Consortium led by Vinci, a leading global infrastructure construction and concession management group owns the remaining 50% stake in NWCC. Mostotrest is the general contractor for the construction of the concession segment.

Mostotrest (including LLC Corporation Engtransstroy and LLC Transstroymekhanisatsiya) is the largest diversified infrastructure and bridge-building company in Russia. According to EMBS Group, the independent industry consultancy, Mostotrest had an 8.6% share of the total Russian infrastructure construction market in 2011 (excluding road maintenance and rehabilitation). Mostotrest’s core competences include construction and rehabilitation of automobile, railway and urban bridges, automobile roads and other transport infrastructure.

The company was established in 1930 as a developer of complex and oversized bridges, and has built and rehabilitated more than 7,500 infrastructure projects (bridges, flyovers, tunnels and interchanges) to date.

Mostotrest is currently implementing major infrastructure development projects across Russia, including transport infrastructure for the 2014 Sochi Olympics, Enthusiasts Avenue traffic interchange in Moscow, as well as infrastructure projects along M-4 Don, M-7 Volga and other highways.
