Mostotrest Increases Its Share in Operator Company United Toll Systems
OREANDA-NEWS. November 22, 2012. OJSC Mostotrest (“Mostotrest” or “the Company” and, together with its consolidated subsidiaries, “the Group”; MICEX-RTS ticker symbol: MSTT) has announced today the decision of its Board of Directors to increase its share in LLC United Toll Systems (“UTS”), the company operating the km 225.6–km 633.0 toll segment of the M-4 “Don” federal highway, from 51% to 84.3%, with further plans to increase the share to 100%.
UTS was established to implement toll-based road projects and develop optimal technological solutions for intelligent traffic management systems. Mostotrest, with a share of 51%, is the controlling shareholder in the joint venture. Its partner is LLC Kapsch TrafficCom Russia.
This acquisition is part of Mostotrest’s strategy for expanding and strengthening its business in related business segments, including toll toad operation. The toll road operation market is a promising sphere of transport infrastructure development, as evidenced by the emergence of new types of contract, such as life cycle and operator contracts.
The deal will amount to €6m and is expected to be closed by the end of 2012.

Mostotrest (including LLC Corporation Engtransstroy and LLC TRANSSTROYMEKHANISATSIYA) is the largest diversified infrastructure and bridge-building company in Russia. According to EMBS Group, the independent industry consultancy, Mostotrest had an 8.6% share of the total Russian infrastructure construction market in 2011 (excluding road maintenance and rehabilitation). Mostotrest’s core competences include construction and rehabilitation of automobile, railway and urban bridges, automobile roads and other transport infrastructure.
The company was established in 1930 as a developer of complex and oversized bridges, and has built and rehabilitated more than 7,500 infrastructure projects (bridges, flyovers, tunnels and interchanges) to date.
Mostotrest is currently implementing major infrastructure development projects across Russia, including transport infrastructure for the 2014 Sochi Olympics, Enthusiasts Avenue traffic interchange in Moscow, as well as infrastructure projects along M-4 Don, M-7 Volga and other highways.
