Halyk Savings Bank Informs on AGM Agenda
OREANDA-NEWS. April 17, 2012. Joint Stock Company "Halyk Savings Bank of Kazakhstan" ("Halyk Bank") (LSE: HSBK) hereby informs its shareholders about the intention to propose the Annual General Shareholders' Meeting (the "AGM") to be held on 19 April 2012 to include to the agenda the additional item on increase of the amount of reserve capital, reported the press-centre of KASE.
Announcement of the AGM and its agenda has been published on 6 March 2012 in Egemen Kazakhstan and Kazakhstanskaya Pravda newspapers, on the Bank's corporate website, as well as through the London Stock Exchange, the Kazakhstan Stock Exchange and the Depositary.
Further to explanations received from the National Bank of the Republic of Kazakhstan in relation to the methodology of formation of reserve capital, Halyk Bank plans to allocate additional KZT 258,408,000 from the retained earnings of previous years to increase the reserve capital (in addition to the amount which will be allocated to increase the reserve capital in accordance with the voting results on the second item of the AGM agenda). In this regard, Halyk Bank plans to propose at the AGM to include the additional item on increase of the amount of the Bank's reserve capital to the AGM agenda.
Herewith, according to Clause 43-4 of the Law of the Republic of Kazakhstan "On Joint Stock Companies", the agenda can be expanded if the majority of shareholders (or their representatives) who participate at the general shareholders' meeting and collectively own not less than 95% of voting shares vote for the inclusion of the additional item. In such case, shareholders willhave the right to vote on the additional item of the agenda.
Therefore, Halyk Bank asks the shareholders to note the above information and to take into consideration the possibility to vote on inclusion of additional item to the agenda, as well as on the additional item of the agenda ("On increase of the amount of the Bank's reserve capital").
