The Extraordinary General Meeting of Shareholders held on September 30, 2011 made the following decisions:

A current Board of Directors of OJSC DIXY Group to be dissolved ahead of term.

The Board of Directors of OJSC DIXY Group to consist of 7 members.

The Board of Directors of OJSC DIXY Group to be elected to include the following members:

Ilya Yakubson,

Xavier Fernandes Rosado,

Sergey Katsiev

Graduated from Moscow State Institute of International Relations; PhD in Economics. Current positions - President of Megapolis Group, Deputy Chairman of the Board of Directors of Megapolis Trading Company, Chairman of the Board of Directors of DIXY Group.

Dmitry Rischenko

Graduated from Lomonosov Moscow State University; PhD in Economics. Current positions - Financial Director of Mercury Group, member of the Board of Directors of Megapolis Trading Company.

Ilya Yakubson

Graduated from Orel State Pedagogical Institute, PhD in Sociology, MBA at Business School of Kingston University (UK). Current position - President of DIXY Group.

Xavier Fernandes Rosado

Graduated from Instituto de Estudios Superiores de Empresa (IESE), Universidad Autonoma de Madrid and Stanford Graduate School of Business. Current positions - Managing Partner of BERAGUA CAPITAL, and in June 2011 was elected as the independent Director of the Board of Directors of DIXY Group.

Aleksandr Prisyazhnyuk

Graduated from Kuban State University. Former position - Financial Director of OJSC Magnit during 2003-2008. Since 2010 - the independent Director of the Board of Directors of DIXY Group.

Vladimir Katsman

Graduated from Grozny Oil Institute, Kaliningrad International Business Institute; MBA degree at the State University of Management. In 1993 established Victoria Group together with Nikolay Vlasenko and Alexander Zaribko. Currently is a minority shareholder of DIXY Group.
