TeliaSonera Took over Controlling Interest in TEO from Amber
OREANDA-NEWS. July 01, 2011. TeliaSonera AB (publ) (code 556103-4249 and having its registered office address at Stureplan 8, Stockholm SE-106 63, Sweden) took over from its subsidiary Amber Teleholding A/S (code 20758694 and having its registered office address at Holmbladsgade 139, DK-2300 Copenhagen S, Denmark) the controlling interest in TEO LT, AB (hereinafter ‘TEO’ or ‘the Company’) – 488,947,656 ordinary registered shares of one litas par value each, that amounts to 62.94 per cent of the Company’s share capital and votes at the General Meeting of Shareholders.
From now, TeliaSonera AB (publ), together with TEO shares held before the transaction (39,895,616 shares), will have a total of 528,843,272 ordinary shares of TEO that amounts to 68.08 per cent of the total number of shares issued by the Company and gives the same number of votes at the General Meeting of Shareholders, i.e. the same number of shares that was held by TeliaSonera AB (publ) directly and indirectly through Amber Teleholding A/S before the transaction.
The Commission for Assessment of Conformity of Potential Participants of Enterprises of Strategic or Considerable Importance to National Security to the Interests of National Security has made a conclusion that TeliaSonera AB (publ) conforms to the interests of national security and may take over the shares of TEO LT, AB.
The Radio and Television Commission of Lithuania gave a permission to transfer the controlling interest of the re-broadcasting license holder TEO LT, AB from Amber Teleholding A/S to TeliaSonera AB (publ).
In July 1998 the consortium Amber Teleholding A/S, established by the then Swedish Telia AB and Finnish Sonera Oy, acquired from the State of Lithuania a 60 per cent stake in the Company. In September 2010, after reduction of TEO share capital by cancelation of treasury stocks, Amber Teleholding A/S holding increased up to 62.94 per cent.
