Sberbank of Russia Held AGM
OREANDA-NEWS. June 06, 2011. Sberbank of Russia (RTS: SBER, MICEX: SBER03) informs of the following decisions made during the Annual General Shareholders Meeting (AGM) held, reported the press-centre of Sberbank:
Sberbank’s annual report for 2010 and annual financial report for 2010 were approved.
The AGM approved profit allocation, recommended by the Supervisory Board, of 2010 common dividend payments at a rate of RUB0.92 per share, and preferred dividend payments at a rate of RUB1.15 per share.
New Supervisory Board and Audit Committee of the Bank were elected at the AGM.
The following members were elected for the Supervisory Board:
1. Gref Herman Oskarovich – Chief Executive Officer, Chairman of the Management Board of Sberbank of Russia;
2. Guriev Sergey Maratovich - Rector of the Russian Economic School;
3. Dmitriev Mikhail Egonovich - President of the Center for Strategic Research Foundation;
4. Zlatkis Bella Ilyinichna – Deputy Chairman of the Management Board of Sberbank of Russia;
5. Ivanova Nadezhda Yuryevna - Director of the Consolidated Economic Department of the Central Bank of the Russian Federation;
6. Ignatyev Sergey Mikhailovich - Chairman of the Central Bank of the Russian Federation;
7. Luntovsky Georgiy Ivanovich - First Deputy Chairman of the Central Bank of the Russian Federation;
8. Matovnikov Mikhail Yuryevich - Director of Corporate Development of the Interfax Group, Chief Executive Officer of Interfax-CEA;
9. Mau Vladimir Alexandrovich - Rector of the Academy of National Economy under the Government of the Russian Federation;
10. Popova Anna Vladislavovna - Deputy Chief of Staff of the Government Executive Office of the Russian Federation;
11. Profumo Alessandro – Former Chief Executive Officer of the UniCredit Group;
12. Savatyugin Alexey Lvovich - Deputy Minister of Finance of the Russian Federation;
13. Simonyan Rair Rairovich - Chairman of the Board of Directors of Morgan Stanley Bank-Russia;
14. Sinelnikov-Murylev Sergey Hermanovich - Rector of the Russian Foreign Trade Academy of the Ministry for Economic Development of the Russian Federation;
15. Tkachenko Valery Viktorovich - Chief Auditor of the Central Bank of the Russian Federation;
16. Ulyukaev Alexey Valentinovich - First Deputy Chairman of the Central Bank of the Russian Federation;
17. Shvetsov Sergey Anatolyevich – Deputy Chairman of the Central Bank of the Russian Federation.
The following members were elected for the Audit Committee:
1. Volkov Vladimir Mikhailovich - Deputy Director of the Accounting and Reporting Department of the Central Bank of the Russian Federation - Head of Department of Methodology and Implementation of Accounting Principles, of Development and Following of Methodical Base of Financial Reporting under International Standards;
2. Dolzhnikov Maxim Leonidovich - Deputy Director of Internal Control, Revisions and Audit Department of Sberbank of Russia;
3. Zinina Lyudmila Anatolyevna - Deputy Head of the Auditing Department of the Moscow Head Territorial Office of the Central Bank of the Russian Federation;
4. Isakhanova Yulia Yuryevna - Head of the Financial Control Division of the Finance Department of Sberbank of Russia;
5. Kondratenko Dmitry Nikolayevich - Deputy Director of the Risk Department of Sberbank of Russia;
6. Minenko Alexey Evgenyevich – Deputy Chief Accountant of Sberbank of Russia - Deputy Director of the Accounting and Reporting Department of Sberbank of Russia;
7. Polyakova Olga Vasilyevna - Director of Internal Auditing of the Central Bank of the Russian Federation.
At the AGM, Gref Herman Oskarovich was re-elected as Chief Executive Officer and Chairman of the Management Board of Sberbank of Russia for a new term starting from November 29, 2011.
ZAO Ernst & Young Vneshaudit was approved as the Auditor of Sberbank of Russia for 2011 and first quarter of 2012.
The AGM approved the new edition of the Charter of Sberbank of Russia.
The AGM made a decision on payment of reimbursement to the members of the Supervisory Board and the Audit Committee of Sberbank of Russia.
