BoD of Bank of Moscow Announces Agenda for AGM
OREANDA-NEWS. May 16, 2011. The Bank of Moscow announces that, on 13 May 2011, a meeting of the Board of Directors of the Bank of Moscow was held. The agenda for the meeting included, among other things, the question of convening the Annual General Meeting of shareholders of the Bank of Moscow.
The Board of Directors of the Bank of Moscow adopted a resolution to convene the Annual General Meeting of the shareholders of the Bank of Moscow on 27 June 2011. Shareholders on the Shareholders’ Register as of 13 May 2011 may take part in the Meeting.
The agenda for the Annual General Meeting of the shareholders includes the following items:
1. Approval of the annual report of the Bank of Moscow for 2010.
2. Approval of the annual financial accounting, including profit and loss statement, of the Bank of Moscow, for 2010.
3. Distribution of profits of the Bank of Moscow for 2010.
4. Payment of dividends for 2010.
5. Determination of the numerical strength of the Board of Directors of the Bank of Moscow.
6. Election of the members of the Board of Directors of the Bank of Moscow.
7. Determination of the numerical strength of the Auditing Committee of the Bank of Moscow.
8. Election of the members of the Auditing Committee of the Bank of Moscow.
9. Approval of the auditor of the Bank of Moscow.
10. Election of the President of the Bank of Moscow.
11. Approval of interested-party transactions.
12. Approval of amendments to the Charter of the Bank of Moscow.
13. Approval of the new version of the Regulations on convening and holding a General Meeting of Shareholders of the Bank of Moscow.
14. Approval of the new version of the Regulations on the Board of Directors of the Bank of Moscow.
15. Approval of the new version of the Regulations on the Management Board of the Bank of Moscow.
Materials provided in preparation for the Annual General Meeting of shareholders will be accessible at the Rozhdestvenka Branch of the Bank of Moscow (Moscow, Kuznetskiy Most St., d. 17, bldg. 1) during the period from 7 June through 27 June 2011 from 10:00 to 17:00 hours every day apart from weekends and holidays.
