OREANDA-NEWS. May 16, 2011. The Federal Antimonopoly Service (FAS Russia) considered a petition of a group of person including “DIXIE HOLDING LIMITED” and “DIXIE Group” OJSC (further on referred to as “DIXIE” Trade Network) on acquiring 100% voting shares of “Victoria” GK” OJSC (further on referred to as “Victoria” Trade Network), reported the press-centre of FAS Russia.

Considering the petition, FAS Russia established that in two administrative-territorial units the share of “DIXIE” Trade Network and members of the same group of persons exceeds 25% as of the date of completing the transaction:

- Serpukhov Municipal District, the Moscow Region;

- Serpukhov Town District, the Moscow Region.

To prevent restriction of competition, FAS Russia obligated “Victoria” Trade Network to stop using sales premises for trade with food products before the transaction is settled and preserve possibility of use (by selling, transferring) to economic entities that are not members of the same group of persons with “DIXIE” Trade Network.

Under Part 2 Article 14 of the Federal Law “On the Fundamental Principles of Trading Activities in the Russian Federation” the transaction will be considered void if the above condition is not met.
