OREANDA-NEWS. March 3, 2011. Rostelecom OJSC (“the Company”) (RTS, MICEX: RTKM, RTKMP; OTCQX: ROSYY), Russia’s national telecommunications operator, today announced the results of the meeting of its Board of Directors, held on February 24, 2011.

The Board of Directors approved the following composition of the Board’s four Committees:

Strategy Committee

Sergei Kuznetsov – Member of the Independent Directors’ National Register of Russian Union of Industrialists and Entrepreneurs;

Yury Kudimov – General Director of VEB Capital (Investment company of Vnesheconombank);

Konstantin Malofeev – Managing Partner of Private Equity Fund Marshall Capital Partners;

Mikhail Leschenko – Deputy General Director of Svyazinvest;

Sergey Pridantsev – member of the Board of Directors of Rostelecom;

Alexander Provotorov – President of Rostelecom;

Vadim Semenov – General Director of Svyazinvest;

Anatoly Tikhonov – First Deputy Chairman and Member of the Management Board of Vneshekonombank.

Vadim Semenov was appointed Chairman of the Strategy Committee.

Audit Committee

Vladimir Bondarik – Chairman of the Board of Directors of Rostelecom and Deputy General Director of Svyazinvest;

Ivan Rodionov – Professor of State University ‘Higher School of Economics’.

Yury Kudimov was appointed Chairman of the Audit Committee.

Nomination and Remuneration Committee

Vladimir Bondarik – Chairman of the Board of Directors of Rostelecom and Deputy General Director of Svyazinvest;

Mikhail Poluboyarinov – Director of the Infrastructure Department of Vnesheconombank;

Sergey Pridantsev – member of the Board of Directors of Rostelecom;

Ivan Rodionov – Professor of State University ‘Higher School of Economics’;

Vadim Semenov – General Director of Svyazinvest.

Sergey Pridantsev was appointed Chairman of the Nomination and Remuneration Committee.

Corporate Governance Committee

Anatoly Ballo – Rostelecom Management Board member and Deputy Chairman of Vnesheconombank;

Valentina Veremyanina – Director of Corporate Governance and Legal Department, OJSC Svyazinvest;

Sergei Kuznetsov – member of the Independent Directors’ National Register of Russian Union of Industrialists and Entrepreneurs;

Mikhail Leschenko – Deputy General Director of Svyazinvest:

Pavel Nezhutin – Corporate Secretary of Rostelecom:

Mikhail Poluboyarinov – Director of the Infrastructure Department of Vnesheconombank.

Mikhail Leschenko was appointed Chairman of the Corporate Governance Committee.

The Board of Directors decided to elect Alexander Rogovoy as a Member of the Management Board. Alexander currently serves as Vice President for Legal Issues and Corporate Development of Rostelecom. Alexander is replacing Vadim Semenov, who will no longer be part of the Rostelecom Management Board.
