Norilsk Nickel BoD Considered OGK-3 Issue & Letter of B. Mills
OREANDA-NEWS. December 20, 2010. At the meeting of the Board of Directors of OJSC MMC Norilsk Nickel (hereinafter - “MMC Norilsk Nickel” or “the Company”) the following decisions were made, reported the press-centre of Norilsk Nickel:
I. The Board of Directors considered the OJSC OGK-3 issue.
The Board of Directors considered the exchange of OJSC OGK-3 shares for shares of INTER RAO UES as well as the letter of Eurosibenergo Plc, and decided to return to the issue of further OJSC OGK-3 shares utilization after additional examination of both options.
II. The Board of Directors considered the letter of B.Mills.
The Board of Directors considered the letter of the Board member B.Mills addressed to the Chairman of the Board, and decided to support Mr. Mills’ position that the false claims made by the representatives of certain shareholders, specified in the letter, about the independent director are highly damaging to the Company, its shareholders and management. The Board of Directors stated there is no ground to have any doubt about independence of Mr. B. Mills.
Besides, it was decided to draw the Board members’ attention to the necessity of scrupulous and prudent performance of their duties in the Company’s interest, and inadmissibility of any actions intended to cause damage to the Company and its executive bodies.
