OREANDA-NEWS. October 28, 2010. The Federal Antimonopoly Service (FAS Russia) approved three transactions on the markets of purchasing, production and sale of milk and dairy products, aimed at joining businesses owned by DANONE group of persons and UNIMILK group of persons for production and distribution of milk and dairy products in the Russian Federation by creating a joint venture, reported the press-centre of FAS Russia.

Under Articles 28 and 33 of the Federal Law “On Protection of Competition” FAS Russia granted the petitions to:

- “DANONE SIS HOLDINGS B.V.” about preliminary agreement to exercise transactions aimed at creating a joint venture with “UNIMULK HOLDINGS (CYPRUS) B.V. by joining their assets on the basis of “DAIRY JW (CIS) HOLDINGS (CYPRUS) Ltd.;

- “DAIRY JW (CIS) HOLDINGS (CYPRUS) Ltd. on purchasing 88.2224313134% ã voting shares of “Unimilk” Company” OJSC and 100% shares of the authorize capital of “Danone Industry” Ltd.;

- “UNIMULK HOLDINGS (CYPRUS) B.V. on preliminary agreement upon acquiring the rights that allow to determine conditions of entrepreneurial activities of “DAIRY JW (CIS) HOLDINGS (CYPRUS) Ltd., as well as companies form its group of person, which will be formed is a result of other transactions.

The group of persons of “DAIRY JW (CIS) HOLDINGS (CYPRUS) Ltd. will include the following companies: “Unimilk” Company” OJSC, “Edelweiss” Dairy Plant” CJSC, “UniMilk” Ltd., “UNIMILK Logistics” Ltd., “Saransky” Milk Plant” OJSC, “Nadyezhda” OJSC, “UNIMILK Finance” Ltd., “Kemerovo Milk Plant” OJSC, “Chanivsky” Butter-Making Plant” OJSC, “City Milk Plant” OJSC, “Pervaya Molozhnaya Kompania” CJSC, “Mir Moloka” CJSC, “Tikhoretsky” Baby Canned Meat” CJSC, “Tvermoloko” OJSC, “Staritsky Syr” OJSC, “Vesyegonsky Butter-and-Chesse Plant” OJSC, “Maslenitsa” Ltd., “Verbilovskoye” Ltd., “UNIMILK Invest” Ltd., “PMK-YuM” CJSC, “Danone Industry” Ltd., “Danone Volga” CJSC, “UNIMILK Shklov” Agricultural Ltd. (the Republic of Belarus), and “UNIMILK Pruzhany” Agricultural Ltd. (the Republic of Belarus).

The petitions were granted ñin view of the determination to exercise actions towards protecting competition on the markets of purchasing, production and sale of milk and dairy products.
