OREANDA-NEWS. July 14, 2010. The annual General Meeting of Shareholders of JSC FGC UES was convened in Moscow.

The annual General Meeting of Shareholders of JSC FGC UES approved 2009 annual report of the Company as well as annual financials statements and profit and loss statement.

The annual General Meeting of Shareholders decided not to pay dividends on JSC FGC UES ordinary shares at 2009 year-end.

The annual General Meeting of Shareholders of JSC FGC UES approved CJSC “PricewaterhouseCoopers Audit” to be the auditor of the Company.

The following Board of Directors was elected at the annual General Meeting of Shareholders (positions held are provided as of the time of recommendation for the Company Board of Directors):

Mr. Ayuev Boris Ilyich, Chairman of the Management Board of JSC SO UES;

Mr. Budargin Oleg Mikhailovich, Chairman of the Management Board of JSC FGC UES;

Mr. Kutovoy Georgy Petrovich, Adviser on energy to the President of CJSC OMK;

Mr. Makarov Alexei Alexandrovich, Director of Energy Research Institute of the Russian Academy of Sciences;

Mr. Malyshev Andrey Borisovich, Deputy Director General of the State corporation “Rosnanotech”;

Mr. Ponomarev Dmitry Valeriyevich, Chairman of the Management Board of Nonprofit partnership “Market Board”;

Mr. Solovyev Yury Alexeevich, Director General of CJSC VTB Capital;

Mr. Ferlengi Ernesto, Director General of LLC EniEnergy;

Mr. Khvalin Igor Vladimirovich, Director General of CJSC Engineering Group “Volga”;

Mr. Sharipov Rashid Ravelevich, Deputy Director General of LLC KFK-Consult;

Mr. Shmatko Sergei Ivanovich, the Minister of Energy of the Russian Federation.

The annual General Meeting of Shareholders also elected the new Audit Commission of the Company (positions held are provided as at the time of recommendation for Audit Commission of the Company):

Mr. Gorevoy Dmitry Mikhailovich, Chief specialist-expert in the Management Department of the Ministry of economic development of the Russian Federation;

Ms. Drokova Anna Valerievna, Chief specialist-expert in the Management Department of the Federal Property Management Agency;

Mr. Kolyada Andrey Sergeevich, Main specialist-expert in the Management Department of the Federal Property Management Agency;

Mr. Raspopov Vladimir Vladimirovich, Head of the Management Department of the Federal Property Management Agency;

Ms. Tikhonova Maria Gennadiyevna, Director of Department of the Ministry of Energy of the Russian Federation.

Additionally the annual General Meeting of Shareholders of JSC FGC UES approved the redrafted Articles of association of the Company as well as a number of internal documents of the Company.
