On 09 July 2009 XXI Century Investments Public Limited (LSE: XXIC) announcedwith regard to the meeting of the holders of its USD175 million 10% Guaranteed Secured Notes due 2010 (the "Notes") held on 3 July 2009 (the "Meeting"). The purpose of the Meeting was to seek the consent of Noteholders, by means of an Extraordinary Resolution, to the amendment to terms and conditions of the Notes as set out in Solicitation Statement released by the Company on 11 June 2009 (the "Proposed Amendments").

The Company hereby announces that the Proposed Amendments were approved through an Extraordinary Resolution passed at the Meeting. Representatives of the noteholders holding in aggregate 93.6% of the principal amount of the Notes were present at the Meeting. The Extraordinary Resolution was approved by 99.9% of the votes cast on behalf of the noteholders represented at the Meeting.

The effectiveness of the Extraordinary Resolution is conditional on the resolutions of the Company's shareholders set out in the notice of an Extraordinary General Meeting of the Company (the "EGM") dated 12 June 2009. The EGM will be held on 7 July 2009.
