Hogan & Hartson Advices Renova in Resolving Corporate Dispute
OREANDA-NEWS. On 28 January 2009 was announced, that Hogan & Hartson has advised OGIP Ventures, a joint venture of Access Industries and Renova Group, that are two members of AAR (consortium of Alfa Group and Access/Renova holding 50 percent in TNK- BP) in the settlement of a long-term and complex corporate dispute with British Petroleum (BP).
Lawyers with Hogan & Hartson represented OGIP Ventures as an AAR member holding 25 percent in TNK-BP in drafting and negotiating a new shareholders agreement and other corporate documents with BP to overhaul the structure and corporate governance of the company.
This highly complex matter is a precedent-setting case in an amicable settlement of a high value shareholders’ dispute involving one of the largest Russian oil companies.
TNK-BP is Russia’s third-biggest oil company, and is among the top 10 privately-owned oil companies in the world in terms of crude oil production. The company was formed in 2003 as a result of the merger of BP’s Russian oil and gas assets and the oil and gas assets of AAR.
Hogan & Hartson's international team was led by Moscow partner Ilya Rybalkin and included London partners Hywel Jones, Peter Kohl, Jonathan Ivinson, and Rod Baker; associate Rebecca Armour in the London office; and counsel Dmitry Zhdanov, senior adviser Vadim Kukushkin, and associates Nikita Sokolov and Alexey Shinkarenko in the Moscow office.
