Mazeikiu Nafta Made Changes in Articles of Association
OREANDA-NEWS. On November 07, 2008 AB Mazeikiu Nafta has registered the new Articles of Association, and the Supervisory Council has held the meeting and elected new members to the Board of Directors, reported the press-centre of Mazeikiu Nafta.
At decision of AB Mazeikiu Nafta’s shareholders, the Company has registered the new Articles of Association, which provide the Supervisory Council with a more significant role.
The new Articles of Association provide for a more significant role of the Supervisory Council in ensuring supervision over decisions which are important for the Company.
Based on the new Articles of Association, the Board of Directors of AB Mazeikiu Nafta will be responsible for the day-to-day operations of the Company and will perform the similar functions as the Management Boards of PKN ORLEN S.A. and Unipetrol a.s.
The former Articles of Association of AB Mazeikiu Nafta were not in line with the corporate governance of ORLEN Group. Having changed the Articles of Association of AB Mazeikiu Nafta, the corporate governance of the companies of ORLEN Group will be unified.
The Supervisory Council of AB Mazeikiu Nafta, during its meeting, has accepted the notices of resignation and recalled Jacek Czaplinski, Bogdan Dzudzewicz, Dariusz Jacek Krawiec, and Marek Serafin from the Board of Directors of AB Mazeikiu Nafta.
The Supervisory Council elected Marek Mroczkowski, General Director, Vita Petroрienл, Chief Financial Officer, Waldemar Lota, Deputy General Director for Plant Engineering, and Jacek Tomasz Szafranski, Deputy General Director for Commercial Sales, as the new members of the Board of Directors of AB Mazeikiu Nafta.
