OREANDA-NEWS. October 13, 2008. The Federal Antimonopoly Service (FAS Russia) processed and granted the petition of "SUEK" OJSC on acquiring 100% voting shares of the "Yenisei Regional Generating Company (TGK-13)" OJSC and 100% voting shares of "Kuzbassenergo" OJSC, subject to the issued determination, reported the press-centre of FAS Russia.

Processing the petitions, FAS Russia established that if "SUEK" OJSC acquires 100% voting shares of "Yenisei Regional Generating Company (TGK-13)" OJSC and 100% voting shares of "Kuzbassenergo" OJSC, it will reduce the number of agents of the wholesale electrical power market - non-members of the same group of persons - in the free energy transfer zone, defined by the area of the Integrated Siberian Energy System, excluding the South energy district of the Kuzbass Energy System, the Omsk Energy System, the Chita Energy System, the Buryatia Energy System, and the Barnaul-Biisk Power Centre (the free energy transfer zone - "the Remaining Part of the Integrated Siberian Energy System").

It will also strengthen the dominant position of "Kuzbassenergo" OJSC on the wholesale energy (power) market in the free energy transfer zone due to an increased frequency of the exceptional position, and sustainability and duration of such a position of the economic entity.

FAS Russia granted the petition of "SUEK" OJSC on acquiring 100% voting shares of "Yenisei Regional Generating Company (TGK-13)" OJSC and 100% voting shares of "Kuzbassenergo" OJSC subject to executing the competition-protecting determination, which include conduct and structural requirements.

Conduct requirements are aimed at observing the price-restricting conditions in the price requests submitted by the stations of "Kuzbassenergo" OJSC and "Yenisei Regional Generating Company (TGK-13)" OJSC for the determined quantity of generated electrical energy (power).

Structural requirements include the condition on alienating generating assets with the installed capacity no less than 367MVt.

Proper execution of the determination means compliance with conduct requirements for five years or executing structural requirements.
