OREANDA-NEWS. On July 01, 2008 OAO RAO "UES of Russia" has completed the corporate reorganization and ceased to exist after its merger with and into OAO "UES FGC". An entry to that effect has been made on the Unified State Register of Legal Entities (EGRUL), reported the press-centre of RAO "UES of Russia".

Pursuant to the resolution of the EGM of RAO "UES of Russia" held on 26 October 2007, two more companies were spun off from RAO "UES of Russia"—OAO "IDC Holding" and OAO "RAO Energy Systems of the East". Both companies have completed their official registration with the authorities.

The following companies have also been spun off from RAO "UES of Russia":

OAO "State Holding" and OAO "UES FGC Minority Holding", which simultaneously merged with and into OAO "UES FGC";

OAO "HydroWGC State Holding" and OAO "HydroWGC Minority Holding", which simultaneously merged with and into OAO "RusHydro";

OAO "WGC-1 Holding" which simultaneously merged with and into OAO "WGC-1";

OAO "WGC-2 Holding" which simultaneously merged with and into OAO "WGC-2";

OAO "WGC-3 Holding" which simultaneously merged with and into OAO "WGC-3";

OAO "WGC-4 Holding" which simultaneously merged with and into OAO "WGC-4";

OAO "WGC-6 Holding" which simultaneously merged with and into OAO "WGC-6";

OAO "TGC-1 Holding" which simultaneously merged with and into OAO "TGC-1";

OAO "TGC-2 Holding" which simultaneously merged with and into OAO "TGC-2";

OAO "Mosenergo Holding" which simultaneously merged with and into OAO "Mosenergo";

OAO "TGC-4 Holding" which simultaneously merged with and into OAO "TGC-4";

OAO "TGC-6 Holding" which simultaneously merged with and into OAO "TGC-6";

OAO "Volzhskaya TGC Holding" which simultaneously merged with and into OAO "TGC-7";

OAO "SGC TGC-8 Holding" which simultaneously merged with and into OAO "SGC TGC-8";

OAO "TGC-9 Holding" which simultaneously merged with and into OAO "TGC-9";

OAO "TGC-10 Holding" which simultaneously merged with and into OAO "TGC-10";

OAO "TGC-11 Holding";

OAO "Kuzbassenergo Holding" which simultaneously merged with and into OAO "Kuzbassenergo";

OAO "Yeniseyskaya TGC Holding" which simultaneously merged with and into OAO "Yeniseyskaya TGC (TGC-13)";

OAO "TGC-14 Holding" which simultaneously merged with and into OAO "TGC-14";

OAO "Inter RAO UES Holding" which simultaneously merged with and into OAO "INTER RAO UES".

Moreover, the following holding companies wholly owned by the minority shareholders of RAO "UES of Russia" were spun off from RAO "UES of Russia": OAO "Centerenergoholding", OAO "Sibenergoholding", and OAO "Intergeneratsiya".

As a result, the minority shareholders of RAO "UES of Russia" will directly receive shares in 22 large energy companies. Their shares in the energy companies spun off from RAO "UES of Russia" will be credited to the shareholders' accounts not later than 14 July 2008.
