OREANDA-NEWS. On June 21, 2008 an annual General Shareholders Meeting of ALROSA took place in Mirny, Republic of Sakha (Yakutia). The meeting was attended by representatives of the Company’s major shareholders such as the RF Federal Agency for Management of the State Property and the Ministry for Management of the State Property of the Republic of Sakha (Yakutia). 

The Meeting approved ALROSA’s annual report and financials for 2007, including the 2007 Profit and Loss Statement.

The shareholders found ALROSA performance in 2007 positive. All the main targets were achieved, specifically: diamond production of \\$ 2.370, 3 billion (by value) including diamond production of ALROSA-Nyurba, rough sales of \\$2.792, 6 billion, and polished sales of \\$156.2 million.

ALROSA’s total net profit for 2007 was 14132, 9 million rubles
The meeting approved the following distribution of ALROSA 2007 profit:
Capital investments into the fixed capital: 11540.7 million rubles;
Long-term financial investment: 228 million rubles;
Financing of geological prospecting, R&D activities and work in progress: 67.7 million rubles;
Non-current assets: 56.5  million rubles;
Payment of dividends: 2240.0 million rubles.

Based on the results of the ALROSA economic and financial activities, the shareholders decided to pay the dividends of 11200 rubles per share by November 22, 2008. 

The meeting approved the winner of the open tender between Russian auditing and consulting companies OOO “Finansovye i Bukhgalterskie Konsultanty” (FBK) to be the statutory auditor of ALROSA and elected the Company’s new Auditing Committee. 

The meeting approved the submitted list of deals concerning related-party deals planned by ALROSA.

The meeting elected the following members to the Supervisory Board of ALROSA:

Mr. AKHPOLOV Aleksandr Alikhanovich, Director of the Administrative Department of the Ministry of Finance of the Russian Federation;

Mr. VYBORNOV Sergey Aleksandrovich, President of ALROSA;

Mr. DEMYANOV Ivan Kirillovich, Vice-President of ALROSA;

Mr. YEFIMOV Victor Petrovich, Minister of Property Relations of the Republic of Sakha (Yakutia);

Mr. KUDRIN Aleksey Leonidovich, Minister of Finance of the Russian Federation;

Mrs. MANUILOVA Tatyana Nikolaevna, Deputy Director of the Economics and Finance Department of the Government of the Russian Federation;

Mr. MAKHAROV Dmitry Dmitrievich, Head of the Vilyuisky District Municipality of the Republic of Sakha (Yakutia);

Mr. MEDVEDEV Yury Mitrofanovich, Deputy Head of the Federal Agency for Management of the Federal Property of the Russian Federation;
