Russian Government Empowers Federal Authorities of Rosatom
OREANDA-NEWS. May 14, 2008. Russian Government has empowered Rosatom State Corporation to temporarily act as federal shareholder of a number of Atomenergoprom OJSCs formed as a result of reorganization of FSUEs.
Rosatom State Nuclear Energy Corporation has been empowered to act as shareholder with respect to a number of open joint stock companies of Atomenergoprom formed as a result of the reorganization of federal state unitary enterprises until all of their shares are transferred into the authorized capital of Atomenergoprom OJSC as payment for the supplement shares to be placed by the latter for increasing its authorized capital.
The press service of the Government of the Russian Federation reports that this decision is based on Resolution #346 “On Measures for Executing Presidential Decree #369.”
The Federal Agency for Federal Property Management and the Committee on the Liquidation of the Federal Agency for Nuclear Energy have been instructed to transfer to Rosatom State Nuclear Energy Corporation the property of the Federal Agency for Nuclear Energy:
— buildings situated at the following addresses: 24/26 Bolshaya Ordynka Street, 26/2 Staromonetny Lane, Moscow and 26 Staromonetny Lane, except for rooms 1–25 on the 5th floor and rooms 1–25 on the 6th floor, with a total area of 1,493 sq m;
— other property of the Federal Agency for Nuclear Energy to be specified by the Liquidation Committee;
— by Dec 1 2008, 50% minus 1 voting share of TsNIIMASH (Central Research Institute of Machine Building Technology, Moscow) and VNIIAM (All-Russian Research and Development Institute for Nuclear Power Equipment Construction, Moscow);
— all shares of Inter RAO UES OJSC to be transferred into the ownership of the Russian Federation as a result of the reorganization of RAO UES Russia (EESR);
— all shares of Sangtudin Water Power Plant-1 owned and to be transferred into the ownership of the Russian Federation in accordance with the Oct 16 2004 agreements between the governments of the Russian Federation and Tajikistan on the order and terms of participation of Russia in the construction of Sangtudin WPP-1 and all shares of Kaliningrad Thermal Power Plant-2 owned by the Russian Federation for their subsequent transfer into the authorized capital of Inter RAO UES OJSC.
Rosatom State Nuclear Energy Corporation has been instructed:
— to transfer by Nov 15 2008 the shares of the open joint stock companies of Atomenergoprom formed as a result of the reorganization of federal state unitary enterprises into the authorized capital of Atomenergoprom as payment for the supplement shares to be placed by the latter for increasing its authorized capital;
— to make by Nov 15 2008 a list of federal property subject to transfer into the authorized capital of Atomenergoprom OJSC;
— to submit – within a month after the registration of the reorganized open joint stock companies of Atomenergoprom whose property, subject to privatization, includes nuclear materials and/or nuclear facilities – draft presidential acts for amending the list of Russian legal entities that are empowered to own nuclear materials (except for the nuclear materials that can be owned by the state only) and the list of Russian legal entities that are empowered to own nuclear facilities.
The Federal Agency for Federal Property Management and Rosatom State Nuclear Energy Corporation have been instructed to ensure the submission to the authorities maintaining the registers of the shareholders of the open joint stock companies of Atomenergoprom whose shares are owned by the Russian Federation registered person questionnaires confirming that Rosatom State Nuclear Energy Corporation has the authority to act as the shareholder with respect to the abovementioned open joint stock companies on behalf of the Russian Federation.
