OREANDA-NEWS. March 04, 2008. The Federal Antimonopoly Service (FAS Russia) granted the petitions on purchasing by the group of persons of "KES-Holding" Ltd. 100% voting shares of "TGK-6" OJSC and on purchasing 100% voting shares of "Volzhskaya TGK" OJSC, reported the press-centre of FAS Russia.

FAS Russia received the petitions of "KES-Holding" Ltd., "ResoursTransGaz" Ltd., Primagate Traiding Limited and BEREZVILLE INVESTMENTS LIMITED on purchasing 100% voting shares of "TGK-6" OJSC, as well as the petitions of "KES-Holding" Ltd., Primagate Trading Limited, BEREZVILLE INVESTMENTS LIMITED and Integrated Energy Systems Limited on purchasing 100% voting shares of "Volzhskaya TGK" OJSC.

Information given in the petitions shows that the petitioners are members of the same group of persons.

Approving the petitions on purchasing 100% voting shares of "Volzhskaya TGK" OJSC by the group of persons of "KES-Holding" Ltd., FAS Russia established that if the group of persons purchase the shares of "TGK-6" and "TGK-7", within geographic boundaries of a free power transfer zone defined by the territory covered by the integrated power systems of the mid-Volga region (except the Nizhny Novgorod electric power system, the Balakovo-Saratovsky generation center, the electric power systems of Mari and Chuvashia, and the Kazan power district of the electric power system of Tataria) (further on referred to as - the Free Power Transfer Zone), it will strengthen the dominant position of the group of persons and reduce the number of actors, non-members of the same group of persons, on the wholesale market for electricity in the Free Power Transfer Zone.

Having considered the petitions on purchasing 100% voting shares of "Volzhskaya TGK" OJSC by the group of persons, FAS Russia made a decision to issue a competition-protecting determination, containing structural requirements to sell power-generating assets in the Free Power Transfer Zone.

In accordance with the determination, upon purchasing "TGK-6" and "TGK-7", within a year the group of persons of "KES-Holding" Ltd. must sell the objects directly engaged in electric power (electricity) generation, that are part of the power-generating assets which belong to the group of persons and are operated in the Free Power Transfer Zone, and their aggregate rated capacity is no less than 741 МW.
