Hogan & Hartson Advises on USD 970 mln Russian Construction Project
OREANDA-NEWS. January 9, 2008. Hogan & Hartson has advised OJSC Ammoniy on all legal and tax-related issues in connection with the framework agreement and early work agreement signed in Kazan on November 30, 2007, with Mitsubishi Heavy Industries (MHI) and Sojitz Corp Ltd., the press service of the legal company reported. These documents are the foundation for the construction project of a large chemical complex for production of mineral fertilizers in Tatarstan, Russia. This project is likely to become one of the largest project finance deals in Tatarstan.
Construction of the chemical complex is being implemented under the priority program for development of the oil and gas industry in the region under the auspices of the Government of Tatarstan, and has strategic importance for this region and the Russian mineral fertilizer market. The total value of the project is estimated at US $970 million.
Hogan & Hartson has also been selected as the principal legal and tax advisors to OJSC Ammoniy and its shareholders on subsequent stages of this project, including negotiation of loan facilities with banks; corporate, tax, and customs matters in connection with the project; and the negotiation and execution of engineering and procurement contracts with MHI.
The Hogan & Hartson team working on this matter is led by Moscow partner Ilya Rybalkin and London partner Garry Pegg. The team also includes associate Igor Eliseev and tax consultant Vadim Kukushkin, both from the Moscow office, and London associate Nina Howell.
