XXI Century was informed in early November that Mr Lev Partskhaladze, director of the Company, transferred 240,000 ordinary shares in the Company to Lionore Holdings Limited, a company registered in the British Virgin Islands, for nil basis consideration, the company press service notified. Taras Kutovyi, director of XXI Century, is the beneficiary of Lionore Holdings Limited. Following the transaction Mr Kutovyi holds 1,200,000 ordinary shares representing approximately 3.2 per cent of the total voting rights of the Company: 960,000 directly as a shareholder, and 240,000 through Lionore Holdings Limited. Mr Partskhaladze now holds 20,399,997 ordinary shares representing approximately 54.6 per cent of the total voting rights of the Company.
