OREANDA-NEWS. The Board of Directors of RAO "UES of Russia" approved the reorganization of TGC-10 by way of merger of OAO "Kurgan Generation Company" and the terms and conditions of the merger.

The Board of Directors of RAO "UES of Russia" provided that, in the event that shareholders in Kurgan Generation Company do not approve the merger with and into OAO "TGC-10", OAO "TGC-10" will issue additional shares, which will be offered to shareholders in Kurgan Generation Company in exchange for their shares.

Accordingly, ordinary and preferred shares in OAO "Kurgan Generation Company" will be converted or exchanged for ordinary shares in TGC-10.
