INPROM Holds Annual Meeting of Shareholders
OREANDA-NEWS. On May 30, 2007 the Annual Shareholders' Meeting approved Full Year 2006 Report and Consolidated Financial Statements 2006, and made a resolution on the use of 2006 balance sheet profit, reported the press-centre of INPROM.
The shareholders decided not to pay dividends for year 2006, allocating 115,788 million rubles (about $4,5 million) in the company development, and 6,094 million rubles ($235,000) in a reserve fund.
The meeting elected the Board of Directors, approved new Articles of Association, the Counting Commission, and determined the remuneration of the board members. Russian company Mauer Audit was confirmed as INPROM's auditor to Russian Accounting Standards.
The new Board includes company top managers Andrey Averkin, Igor Konovalov, Alexander Larionov, Romella Tormakova, Elvira Konovalova, Roman Shevchenko, and Vassily Chernysh. Roman Laburtsev, Konstantin Kushnarev, and Igor Kuzhelev are independent directors in the Board.
The Audit Committee lineup: Olga Gouskova, Maria Goncharova, and Olga Mochkarskaya.
The Counting Committee lineup: Olga Ageyeva, Nikolay Medvedev, Irina Styogantseva, and Valentina Ageykina.
