OREANDA-NEWS. The meeting of shareholders of OJSC “TGC-9” has made a decision on reorganization of the Territorial Generation Company №9 in the form of merger with OJSC “Komi Regional Generation Company” (KRGC).

The meeting has approved the Contract about merger of OJSC “Komi Regional Generation Company” with OJSC “TGC-9” and transfer certificates. The contract about merger defines the order and conditions of reorganization of the generation company of Komi Republic, factors of converting of its shares into shares of OJSC “TGC-9”, conditions of assignment on the rights and duties of KRGC.

Also decisions on definition of quantity, face value, categories of declared shares of OJSC “TGC-9” and rights assigned to these shares, on increase in authorized capital of TGC-9, about modification and amendments in the Charter of the company were made.
