OREANDA-NEWS. Univar Inc. announced today the pricing of the previously announced public offering of 20,943,741 shares of Univar's common stock (representing approximately 15.2% of its issued and outstanding shares) by Univar N.V. and GSO COF Facility LLC (the "Selling Stockholders") to Goldman, Sachs & Co., as the sole underwriter in the registered public offering of those shares, at a price to the public of $19.00 per share.  Univar N.V. holds shares the economic benefit of which are held by investment funds affiliated with CVC Capital Partners Advisory (U.S.) Inc. ("CVC"), investment funds affiliated with Parcom ("Parcom") and certain current and former members of management.  The shares sold by Univar N.V. represent the economic interest of CVC and certain current and former members of management of Univar.

Parcom will not sell any of its economic interest in Univar in this offering. The offering is expected to close and settle on August 18, 2016. The Selling Stockholders will receive all of the net proceeds from this offering. No shares are being sold by Univar.  Following the offering, Univar N.V. will own 3,785,855 shares of Univar's common stock and all of these shares will be beneficially owned by Parcom.  Following the offering, GSO COF Facility LLC will own no shares of Univar's common stock.
